Terms of Service

1. General

These terms govern the use of the website agent.lemonedia.co.il and of the "Second Pair of Eyes" AI agent service (the "Service"), operated by Lemonedia, the trading name of the registered business of Yuval Guy (legal business name: Follow My Lead), a sole proprietor based in Israel, who also trades as ProvenAd ("we", "us"). By using the website or the Service you agree to these terms and to our Privacy Policy. If you act on behalf of a business, you confirm that you are authorized to bind it.

2. The Service

The Service is a custom AI agent that monitors the advertising accounts a client connects, detects errors and anomalies, and sends alerts and reports. At the client's explicit choice, the agent may also perform actions in those accounts according to rules the client approved in advance. The scope, fees and other commercial terms are set in a separate written proposal or engagement agreement with each client. If these terms conflict with the engagement agreement, the engagement agreement prevails.

3. Access to the client's assets

• We access a client's digital assets (ad accounts, business Pages, lead data) only with the client's explicit authorization, through the platforms' official authorization mechanisms (OAuth, including Facebook Login for Business).
• The client chooses the permission level: read only, or autonomous actions.
• The client may revoke the authorization at any time, and revocation ends our access immediately.
• The client confirms that it is authorized to grant access to the assets it connects, including assets it manages for its own customers.

4. Client responsibilities

• To comply with the terms and advertising policies of the platforms it uses, including Meta's.
• To define accurate rules and to review the alerts and reports the agent produces.
• To have a lawful basis for the personal data in its accounts, including leads, and to inform its own customers as required by law.

5. Use of platform data

We use data obtained from third-party platforms only to provide the Service to the client who authorized it, and in accordance with the applicable platform terms, including the Meta Platform Terms. How we handle data is described in the Privacy Policy and in the Data Deletion Instructions.

6. AI agents

The Service relies on autonomous AI agents and language models. Their output may be incomplete or wrong and may require human review. The agent is an additional safety net and does not replace the client's own supervision of its accounts. We do not promise that every error will be detected, and we do not promise any particular business result. Autonomous actions are performed only within the rules the client approved.

7. Fees

Fees consist of a one-time setup fee and a recurring monthly fee, as agreed in writing with each client before any account is connected.

8. Intellectual property

All rights in the website, our systems and our methods belong to us or to our licensors. Deliverables created for a client are governed by the engagement agreement. The client's data remains the client's.

9. Limitation of liability

The website and its content are provided "as is". To the extent permitted by law, we are not liable for indirect, consequential or special damages arising from the use of the website. Our liability for the Service is governed and limited by the engagement agreement. Third-party platforms, including Meta, are not parties to these terms, and we are not responsible for their availability, their policies or changes to them.

10. Termination

Either party may end the Service as set in the engagement agreement. On termination we revoke access and delete the client's data as described in the Privacy Policy.

11. Governing law

These terms are governed by the laws of the State of Israel, and the competent courts in Israel have exclusive jurisdiction.

12. Changes

We may update these terms. The binding version is the one published on this page at the time of use.
